The undersigned, Stifel, Nicolaus & Company, Incorporated dba Stone & Youngberg, a Division of Stifel Nicolaus, as representative (the “Representative”) of itself and George K. Baum & Company (collectively, the “Underwriters”), offers to enter into this Bond Purchase Agreement (the “Purchase Agreement”) with the Mt. Diablo Unified School District (the “District), which, upon your acceptance hereof, will be binding upon the District and the Underwriters. By execution of this Purchase Agreement, the District and the Representative acknowledge the terms hereof and recognize that they will be bound by certain of the provisions hereof, and to the extent binding thereupon, acknowledge and agree to such terms.
