THIS COST REIMBURSEMENT AGREEMENT (the “Agreement”), made and entered into as of this __22nd_ day of November 2011(the “Effective Date”), by and between the Village of Solvay (“Customer”), a municipal electric corporation organized and existing under the laws of the State of New York, and Niagara Mohawk Power Corporation d/b/a National Grid (the "Company"), a corporation organized and existing under the laws of the State of New York. Customer and Company may be referred to hereunder, individually, as a “Party” or, collectively, as the “Parties”.
