THIS COMPLETION AGREEMENT (the “Agreement”), made as of January __, 2006, by and among RBS GREENWICH CAPITAL PROPERTY ACQUISITION CORP., a Delaware corporation with an office at 600 Steamboat Road, Greenwich, Connecticut 06830 (hereinafter referred to as “GCM”) and THE CITY OF STAMFORD, CONNECTICUT, a political subdivision of the State of Connecticut, having offices at 888 Washington Boulevard, Stamford, Connecticut 06904 (hereinafter referred to as the “City”).
