Ferrellgas Partners, L.P., a Delaware limited partnership (the “Partnership”), the issuer of common units representing limited partner interests in the Partnership (“Common Units”), proposes to issue and sell to Lehman Brothers Inc. (the “Underwriter”) an aggregate of 1,950,000 Common Units (the “Firm Units”). In addition, the Partnership proposes to grant to the Underwriter the option to purchase from the Partnership up to an additional 292,500 Common Units (the “Additional Units”). The Firm Units and the Additional Units are hereinafter collectively sometimes referred to as the “Units.” The Firm Units include 481,946 Common Units being purchased by the Affiliate Purchasers identified in Section 6(k) (the “Affiliate Units”). The Units are described in the Final Prospectus which is referred to below.

Ferrellgas Partners, L.P., a Delaware limited partnership (the “Partnership”), the issuer of common units representing limited partner interests in the Partnership (“Common Units”), proposes to issue and sell to the underwriters named in Schedule A annexed hereto (the “Underwriters”), for whom you are acting as representatives, an aggregate of 2,000,000 Common Units (the “Firm Units”). In addition, solely for the purpose of covering over-allotments, the Partnership proposes to grant to the Underwriters the option to purchase from the Partnership up to an additional 300,000 Common Units (the “Additional Units”). The Firm Units and the Additional Units are hereinafter collectively sometimes referred to as the “Units.” The Units are described in the Final Prospectus which is referred to below.
