Tl1is grnnt,agreement (this "Agreement") is made effective on April 5, 2019, (the "Effective Date") between Santa Clara Univet'sity, a California nonprofit corporation (the "University") and the Charles Koch Foundation, a Kansas nonprofit qotporation (the "Donor"). This Agreement is for the benefit of the Ciocca Center for Innovation and Entrepreneurship (the "Center"), which is an interdisciplinaty Center welcoming students and faculty from all schools, colleges, and units of the University. The University and the Donor are sometimes referred to in this Agreement individually as a "Party" and collectively as the "Parties." The Parties agree as follows:
