WHEREAS, GMB entered into a Permitted Facilities Agreement dated October 28, 2020, recorded November 19, 2020 as Doc. No. A-1517948 in the Office of the County Recorder, Olmsted County, Minnesota (hereinafter “Agreement”) attached hereto as Exhibit A, whereby GMB agreed to certain terms and conditions related to construction within easements running through the Property owned by BP Central Pipelines LLC ; and
