This Option Agreement is entered into pursuant to a Stock Purchase Agreement dated July 20, 2010 (the “Purchase Agreement”) among the parties hereto and certain other parties listed on the signature page thereof. Capitalized terms not otherwise defined herein shall have the meaning ascribed thereto in the Purchase Agreement.
