THIS MEMORANDUM OF UNDERSTANDING (this “Agreement”) is entered into as of the Effective Date set forth below by and among the DEVELOPMENT AUTHORITY OF HABERSHAM COUNTY (the “Authority”), a development authority and public body corporate and politic duly created and existing under the Constitution and laws of the State of Georgia, HABERSHAM COUNTY, GEORGIA (the “County”), a political subdivision of the State of Georgia, the CITY OF CLARKESVILLE, GEORGIA (the “City”), a municipal corporation of the State of Georgia, and PARKSIDE PARTNERS, LLC, a Georgia limited liability company or its affiliate (the “Company”), each a “Party” and collectively the “Parties.” The HABERSHAM COUNTY BOARD OF TAX ASSESSORS (the “Board of Assessors”), and the TAX COMMISSIONER OF HABERSHAM COUNTY (the “Tax Commissioner”) are each executing an Acknowledgment hereof attached to this Agreement in order to enter into their respective agreements to the provisions hereof which are applicable to them, but they are not
