THIS AGREEMENT is made by and between BellSouth Telecommunications, Inc., (“BellSouth”), a Georgia corporation, and QuantumShift Communications, Inc. (“QuantumShift”), a California corporation formerly known as MVX. COM Communications Inc., and shall be deemed effective May 18, 2001 (the “Effective Date”). This Agreement may refer to either BellSouth or QuantumShift or both as a “Party” or “Parties.”
