This Agreement (“Agreement”) shall be deemed effective as of July 5, 2002 (the “Effective Date”), between Talk Unlimited Now, Inc. (“Talk Unlimited”), a corporation organized under the laws of the State of Delaware, with offices at 3606 S. Waverly Place, Tampa, Florida 33629 and Verizon New England Inc., d/b/a Verizon Rhode Island, f/k/a New England Telephone and Telegraph Company, d/b/a Bell Atlantic - Rhode Island (“Verizon”), a corporation organized under the laws of the State of New York with offices at 185 Franklin Street, Boston, MA 02110 (Verizon and Talk Unlimited may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
