This Agreement (“Agreement”) is made as of this 27th day of July, 2006 by and between Redflex Traffic Systems, Inc., a Delaware corporation with offices at 15020 N. 74th Street, Scottsdale, Arizona (“Redflex”), and the Town of Prescott Valley, Arizona, a municipal corporation, with offices at 7501 E. Civic Circle, Prescott Valley, AZ 86314 (“Customer”) (collectively, the “Parties”).
