and entered into this 6th day of May, 2013 (the "Effective Date"), by and between the VILLAGE OF GRAFTON, a Wisconsin municipal corporation ("Village"), and MPSP, LLC d/b/a H2Oscore, a Wisconsin limited liability company ("H2Oscore"). Village and H2Oscore are sometimes referred to herein individually as a "Party" or collectively as the "Parties".
