THIS AGREEMENT is entered into and becomes effective on (“Effective Date”), by and between the CITY OF MORGAN HILL, a municipal corporation, ("CITY"), and RideCo US, Inc., a Delaware corporation (“RideCo” or "SERVICE PROVIDER") duly authorized to do business in California and will remain so during the term of this Agreement, hereinafter may referred to individually as a Party and collectively as “Parties.” In consideration of the promises and the mutual covenants contained in this Agreement, the Parties agree as follows:
