THIS OPTION AGREEMENT (this “Agreement”) is dated as of January , 2013 (the “Effective Date”), by and among the CITY OF PORTLAND, OREGON, a municipal corporation of the State of Oregon, acting by and through its Office of Management and Finance (the “City”), and CITY OF PORTLAND, OREGON, a municipal corporation of the State of Oregon, acting by and through the Portland Development Commissions, the duly designated urban renewal agency of the City of Portland, Oregon (“PDC”), and RIP CITY MANAGEMENT LLC, a Delaware limited liability company (“PAM”). The City, PDC, and PAM are sometimes individually referred to herein as a “Party” and collectively as the “Parties.”
