This Zoning Implementation and Public Benefit Agreement (the “Zoning Agreement”) is entered into on , 2008, by and between the CITY OF NEWPORT BEACH, a charter city (“City”) and SOBER LIVING BY THE SEA, INC., a California corporation, Comprehensive Addiction Programs, Inc., a Delaware Corporation, CRC Health Corporation, a Delaware Corporation, CRC Health Group, Inc., a Delaware Corporation (collectively referred to as “Operator”). City and Operator and Operator's Affiliates as herein defined, are sometimes collectively referred to in the Zoning Agreement as the "Parties" and individually as a "Party.”
