These standard terms and conditions of sale (“Agreement”) apply to all orders for Goods by Buyer with Ingredion and prevail over all other terms and conditions unless otherwise agreed in writing. If the terms of Buyer’s order are inconsistent with this Agreement, the delivery of the Goods to Buyer or as Buyer directs will constitute an offer by Ingredion to sell the Goods to Buyer pursuant to this Agreement and Buyer will be deemed to accept the offer by retaining the Goods. All references to Goods in this Agreement means the products manufactured in accordance with Ingredion’s specifications, as amended from time to time, and sold to Buyer under this Agreement.
