This BILL OF SALE AND ASSIGNMENT AGREEMENT (this “Agreement”) is made and entered into as of [ ], 2017 by and among SunEdison Residential Services, LLC (“SERS”), NVT Licenses, LLC (“NVT”), Team-Solar, Inc. (“Team-Solar”), EchoFirst Finance Co., LLC (“EchoFirst”), and NY SunEdison Residential Services, LLC (“SUNE NY” and, together with SERS, NVT, Team-Solar and EchoFirst, collectively, “Sellers” and each, individually, a “Seller”) and Kismet Consulting LLC, a California corporation (including its successors and assigns, “Buyer”). Sellers and Buyer are sometimes individually referred to in this Agreement as a “Party” and together as the “Parties.”
