This Settlement Agreement, dated as of July 12, 2024 (the “Stipulation” or the “Settlement Agreement”), embodies a settlement (the “Settlement”) made and entered into by and among the following Settling Parties: (i) lead plaintiff Aberdeen City Council as Administrating Authority for the North East Scotland Pension Fund (“Pension Fund” or “Lead Plaintiff” and, together with the members of the Class, “Plaintiffs”), on behalf of itself and each of the members of the Class, as defined in ¶¶1.3-1.4, infra, on the one hand, and (ii) defendants Under Armour, Inc.
