This Fee Letter shall constitute the “Fee Letter” referred to in the Credit and Guaranty Agreement dated of even date herewith, by and among SLANG WORLDWIDE INC., a company incorporated under the Canada Business Corporations Act (“SLANG”), as a borrower thereunder, the SUBSIDIARIES OF SLANG party thereto from time to time, as borrowers (together with SLANG, collectively the “Borrowers”), the SUBSIDIARIES OF SLANG party thereto from time to time, as Guarantors, the Lenders party thereto from time to time, and SEVENTH AVENUE INVESTMENTS, LLC (“SAI”), as Administrative Agent (together with its successors and assigns in such capacity, the “Administrative Agent”) and as Collateral Agent (together with its successors and assigns in such capacity, the “Collateral Agent”) for the Lenders (as amended, restated, supplemented or otherwise modified from time to time, the “Credit Agreement”).
