This Class Action Settlement Agreement (the “Settlement Agreement”) is entered into as of November 21, 2023, by and between Plaintiff Matthew Wehner, individually and on behalf of the U.S. Roche 401(k) Savings Plan, and Defendants Genentech, Inc. and the U.S. Roche DC Fiduciary Committee, in consideration of the promises, covenants, and agreements herein described, and for other good and valuable consideration acknowledged by each of them to be satisfactory and adequate.
