This SECOND AMENDMENT TO LICENSE AGREEMENT (this “Amendment”) is entered into as of MarchJune __, 2012 (“Amendment Effective Date”), by and between SONY PICTURES TELEVISION CANADA, a branch of Columbia Pictures Industries, Inc., a Delaware Corporation (“Licensor”), and TVN ENTERTAINMENT CORPORATION, a Delaware Corporation doing business as Avail-TVN (“Licensee”) and amends the License Agreement by and between Licensor and Licensee, dated as of September 1, 2008, as amended by the First Amendment to License Agreement dated August 1, 2009 (as amended, the “Original Agreement”). Licensor and Licensee hereby agree as follows:
