WHEREAS, ISR and the Supplier are interested in executing an UTEX Transaction, as defined hereunder, under which the Supplier shall sell and provide ISR with Refurbished Armatures of Traction Motor D43 (the “Goods” or "Armature/s" as defined in Section 3 hereunder) in exchange for malfunctioning Armatures to be provided by ISR to the Supplier, all in accordance with and subject to the terms and provisions of this Agreement; and
