Reference is made to the subscription agreement between the Corporation and the undersigned (referred to herein as the “Subscriber”) dated as of the date hereof (the “Subscription Agreement”). Upon execution of this Subscriber Certificate by the Subscriber, this Subscriber Certificate (including all appendices thereto) shall be incorporated into and form a part of the Subscription Agreement.

The Subscriber (as hereinafter defined) hereby irrevocably subscribes for and agrees to purchase from TerrAscend Corp. (the “Corporation”) that number of units (the “Units”) set out below at a price of US$1.50 per Unit (the “Subscription Price”). Each Unit shall be comprised of: (i) one common share in the capital of the Corporation (each a “Common Share”) (ii) one-half of one Common Share purchase warrant (each Common Share purchase warrant, a “Warrant”). Each Warrant will entitle the holder to acquire one Common Share from the Corporation at a price of US$1.95 per Common Share for a period of 24 months following the Closing Date (as defined herein). The Subscriber agrees to be bound by the terms and conditions set forth in the attached “Terms and Conditions of Subscription for Units” including without limitation the terms, representations, warranties and covenants set forth in the applicable schedules attached thereto.
