In addition, the Company proposes to sell to the Underwriters up to an additional 13,650,000 shares of the Company’s Common Stock (the “Option Shares”) with respect to the grant by the Company to the Underwriters of the option described in Section 2(b) hereof, solely to cover over-allotments.
