In connection with a potential transaction from the California Choice Energy Authority 2023 Disadvantaged Communities Green Tariff Request for Offers (“Transaction,”) between [Name of Counterparty] (“Company”) and the California Choice Energy Authority (“CalChoice”), either Party may make available to the other Party and its Representatives certain information, which is non-public, confidential and/or proprietary in nature. As a condition to any such information being furnished, the Parties agrees that they will, and will cause their respective Representatives to, treat any such information in accordance with, and otherwise comply with, the terms and conditions set forth in this letter agreement (this “Agreement”) effective as of the Effective Date, as defined below.
