, 20 (the “Effective Date”), by the undersigned client set forth on Exhibit “A” ("Client”) and Vann Equity Management, LLC (“Vann Equity Management”), an investment adviser registered with the Securities and Exchange Commission (“SEC”) under the Investment Advisers Act of 1940, as amended (the "Advisers Act”). Vann Equity Management and Client are sometimes hereinafter referred to collectively as the “Parties” or singularly as a “Party”. Pursuant to the terms and conditions set forth in the Agreement, Client hereby employs Vann Equity Management as an investment adviser for all the assets contained in the investment account designated on Exhibit “A” (the “Account” or “Client Account”).
