, 2010 (the “Effective Date”) by and between Accuray Incorporated, a Delaware corporation having its Headquarters at 1310 Chesapeake Terrace, Sunnyvale, California 94089 (hereinafter called “Accuray”), and the Azienda U.L.SS. n. 6 “Vicenza”, located in via Rodolfi 37, 36100, Vicenza, Italia (hereinafter called “Training Center” and, together with Accuray, the “Parties”). Accuray desires to have Training Center provide training to some of Accuray’s customers regarding Accuray’s CyberKnife® System and Training Center is willing to perform such training on the terms set forth more fully below. In consideration of the mutual promises contained herein, the Parties agree as follows:
