(this “Agreement”), by and between Journal Technologies, Inc., a Utah corporation (hereinafter “Licensor”), and Webb County, a political subdivision in Texas (hereinafter “Licensee”), is made as of the date executed by both Licensor and Licensee (the “Effective Date”). In consideration for the representations and agreements contained herein, the parties hereby covenant and agree as follows:
