This Agreement (this “Agreement”) is made as of this day of December, 2017 by and among CMTSU Liquidation, Inc. (f/k/a Ciber, Inc.) and its affiliated debtors and debtors in possession (together, the “Debtors”), State of Hawai’i, Department of Transportation (“HDOT”), and Indian Harbor Insurance Company (“XLC” and together with the Debtors and HDOT, the “Parties”, and each individually, a “Party”).
