of design described in 3.3 above, which is estimated to be $2,721,075 based on an estimated design fee of $155,300 paid by UTA. As construction is occurring, the CITY will invoice UTA on a monthly basis for the work completed at that time. UTA shall reimburse CITY within thirty (30) days of receipt of such invoice. CITY shall continue to invoice UTA, and UTA shall continue to reimburse CITY until such time as UTA has contributed an amount equivalent to the Match Balance. The CITY shall be solely responsible for any construction costs above $2,721,075, unless otherwise agreed in writing between the parties. In the event of necessary and unforeseen construction change orders which may affect the Project’s overall costs, the parties shall agree to a mutually agreeable determination relative to increasing the Project costs and responsibility therefore, or reducing the scope of the Project to stay within the original Project budget.
