THIS END USER LICENSE AGREEMENT (“Agreement”) is entered into as of the Effective Date by and between Tom Sawyer Software, a California corporation, having an office at 1997 El Dorado Avenue, Berkeley, CA 94707 USA (“Licensor”), and you, (as either one natural person utilizing the Licensed Products for individual use or as the authorized representative of the entity entering into this Agreement with Licensor, such natural person or entity shall be referred to as the “Licensee”). Terms with initial capital letters shall have the meaning set forth herein or in the attached exhibits. By clicking on the “Accept Terms” button under “Terms and Conditions” and subscribing to the Licensed Products, you, the subscriber, represent and warrant that you: (i) have read this Agreement and understand it; (ii) are authorized to enter into this Agreement on behalf of and bind the Licensee to the terms of this Agreement; and (iii) are utilizing the Licensed Products solely for the benefit of Licensee, a
