This Settlement Agreement and Mutual Release (the “Agreement”) is entered into effective as of July ___, 2021 by and among Kevin McGinley (“Kevin”), individually and derivatively on behalf of Midland Electrical Contracting Corp., Midland Electrical Contracting Corp. (“Midland Electrical”), Samantha McGinley (“Sam”) and Andrea McGinley (“Andrea”) (collectively, Kevin, individually and derivatively, Sam, Andrea, and Midland Electrical are the “Claimants”) on the one hand, and Sean McGinley (“Sean”), Amanda McGinley (“Amanda”), Mac Fhionnghaile & Sons Electrical Contracting, Inc. (“Mac”), and Midland Electrical Contracting of New Jersey Corp. (collectively, the “Defendants”) on the other hand (Claimants and Defendants collectively are referred to as the “Parties”):
