This Escrow Agreement dated this __ day of ______, 20__ (the “Escrow Agreement”), is entered into by and among [1], LLC, a Delaware limited liability company (“Buyer”), [2] Inc., a Utah corporation (“[2A]”), [3], LC, a Utah limited liability company (“[3A]”, and together with [2A], the “Member Entities”), and [4] and [5], the beneficial owners of [2A] and [3A], respectively (the “Member Owners”, and together with the Member Entities, collectively, the “Members” and together with Buyer, collectively, the “Parties,” and individually, a “Party”), and [6] Bank, National Association, as escrow agent (“Escrow Agent”).
