As a condition to furnishing the Information to the Receiving Party or its Representatives (which term includes all employees, officers, managers, members, shareholders and directors of the Receiving Party has executed this Confidentiality and Non-Disclosure Agreement (“Agreement”) effective as of the date upon which MWG executes this agreement.
