THIS ASSET PURCHASE AGREEMENT, dated as of March 30, 2012, is made and entered into by and between VOIP ACQ, INC., a Delaware company (“Acquiror”), Flint Telecom Group, Inc., a Nevada corporation (“Flint” or “Parent”), and Digital Phone Solutions, Inc., a Florida corporation and wholly owned subsidiary of Flint.
