(“Melita” or the “Disclosing Party”) and (the “Recipient”), the Disclosing Party, any Affiliate or its Associates (each as defined in the Securities Act (Alberta) of the Disclosing Party, or any of their respective Representatives (defined below), including, without limitation, National Bank Financial Inc. (collectively, the “Disclosing Group”) may disclose to the Recipient certain Confidential Information (defined below) concerning the business and affairs of the Disclosing Party. In consideration of and as a condition to furnishing such information to the Recipient, the Recipient agrees with the Disclosing Party as follows:
