th day of January, 2006, between Louisville Gas and Electric Company and Kentucky Utilities Company, corporations organized pursuant to the laws of the Commonwealth of Kentucky (collectively, “LG&E/KU”), and Southwest Power Pool, Inc., an entity organized pursuant to the laws of the State of Arkansas (the “ITO”). LG&E/KU and the ITO may sometimes be individually referred to herein as a “Party” and collectively as the “Parties.”
