THIS TERM LOAN AGREEMENT (as hereafter amended, the “Agreement”) is dated as of August 14, 2024, and is made by and among INDIANAPOLIS POWER & LIGHT COMPANY, an Indiana corporation doing business as AES Indiana (the “Borrower”), the LENDERS (as hereinafter defined), and PNC BANK, NATIONAL ASSOCIATION, in its capacity as administrative agent for the Lenders under this Agreement (hereinafter referred to in such capacity as the “Administrative Agent”) PNC CAPITAL MARKETS LLC, as Bookrunner and Joint Lead Arranger (hereinafter referred to in such capacity as the “Joint Lead Arranger”), and U.S. BANK NATIONAL ASSOCIATION, as Syndication Agent (hereinafter referred to in such capacity as the “Joint Lead Arranger” and “Syndication Agent”).
