This Purchase and Sale Agreement (Agreement) is made this day of , 2017, (the “Effective Date”), between the Arizona Water Banking Authority ("AWBA”), an authority established under Chapter 14, Title 45 of the Arizona Revised Statutes, added by Law 1996, Ch. 308, § 16, effective April 30, 1996, and the City of Surprise (“Surprise”), a municipal corporation of the State of Arizona (together “Parties”).
