is entered into by and between THE CITY OF SAN DIEGO, a California municipal corporation (“CITY”), and FAIRBANKS RANCH COUNTRY CLUB, INC., a California nonprofit corporation (“ASSIGNOR”), and BAY CLUB FAIRBANKS RANCH, LLC, a Delaware limited liability company, (“ASSIGNEE”), and THE BAY CLUBS COMPANY, LLC, a Delaware limited liability company, (“GUARANTOR”), to be effective as of the later date upon which this Consent is signed by the parties and approved by the San Diego City Attorney (“Effective Date”), and shall be contingent upon the terms and conditions set forth herein.
