This RESTRICTED STOCK AWARD AGREEMENT (this "Agreement"), dated March 1, 2006 (the "Grant Date"), by and between Joseph D. Alperin (the "Participant") and EVCI Career Colleges Holding Corp., a Delaware corporation (the "Company"), sets forth the terms and conditions of a Restricted Stock Award issued pursuant to the Company's Amended and Restated 2004 Incentive Stock Plan (the "Plan") and this Agreement. Any capitalized terms used but not defined herein shall have the meaning prescribed in the Plan.

Any capitalized terms used but not defined herein shall have the meaning prescribed in the Plan, a copy of which accompanies this Agreement as Annex A.
