DATA PROCESSING ADDENDUMData Processing Addendum • May 14th, 2021
This DPA will be effective as of the day Tugboat Logic receives a complete and executed DPA from Customer in accordance with the instructions under paragraph 3 below (the "Addendum Effective Date"). This DPA forms part of the Agreement and sets out the terms that apply when Personal Data is processed by Tugboat Logic as a Processor under the Agreement. The purpose of the DPA is to ensure such processing is conducted in accordance with applicable laws and with due respect for the rights and freedoms of individuals whose Personal Data are processed. Capitalized terms used but not defined in this DPA have the same meanings as set out in the Agreement. In the event of a conflict between the terms of this DPA and the Agreement, this DPA shall prevail, provided that the limitations of liability provisions of the Agreement shall control.
