(the “Underwriter”) in connection with the issuance of the above-captioned bonds (the “Bonds”), issued pursuant to a Trust Indenture, dated as of December 1, 2015 (the “Indenture”), by and between the City of San José (the “Issuer”) and U.S. Bank National Association, as trustee (the “Trustee”). As such counsel, we have reviewed such records, certificates, opinions and documents as we have deemed necessary or appropriate for the purpose of this opinion.
