On the basis of the representations, and covenants and upon the terms and conditions contained in this Bond Purchase Agreement, Bliss Sports, LC, a Kansas limited liability company (the “Purchaser”) offers to purchase from the City of Lawrence, Kansas (the “Issuer”), the above-referenced Industrial Revenue Bonds, dated as provided in the Indenture (hereinafter defined), in the maximum aggregate principal amount of $40,000,000 (the “Bond”), to be issued by the Issuer, under and pursuant to Ordinance adopted by the governing body of the Issuer on , 2013, 2013 (the “Ordinance”) and a Trust Indenture dated as of October 1, 2013 (the “Indenture”), by and between the Issuer and BOKF< N.A. with its principal corporate trust office located in Kansas City, Missouri, as Trustee (the “Trustee”).
