Banc of America and Wachovia Securities are acting as representatives (in such capacity, the “Representatives”) with respect to the issue and sale by the Company and purchase by the Underwriters of up to $550,000,000 aggregate amount of its 5.40% Notes due October 15, 2016 (the “2016 Notes”) and up to $450,000,000 aggregate amount of its 5.80% Notes due October 15, 2036 (the “2036 Notes” and, together with the 2016 Notes, the “Securities”) on the terms and conditions stated herein and in Schedule B. The Securities are to be sold to each Underwriter, acting severally and not jointly, in the respective principal amounts as are set forth in Schedule A hereto opposite the name of such Underwriter.
