WHEREAS, Bemidji Township, Northern Township, and the City of Bemidji (collectively the “Parties”) entered into an orderly annexation agreement by joint resolution (Bemidji Township Resolution No. 04-29; Northern Township Resolution No. 04-04; City of Bemidji Resolution No. 5185) adopted in 2004 and filed in the Municipal Boundary Adjustments Unit of the Office of Administrative Hearings in February 2005 as document number OA-1117 and was subsequently amended on April 15, 2010, (the “Orderly Annexation Agreement” or “Agreement”); and
