(“Fortis” or the “Transferor”), a company registered under Istanbul Trade Registry No. 86690-30962 at the address of Yıldız Posta Caddesi No:54 Gayrettepe 34353 Istanbul, in accordance with the provisions of the Banking Regulatory and Supervision Agency (“BRSA”) Regulation on Merger, Acquisition, Spin- off and Exchange of Shares of Banks dated 1 November 2006 and numbered 26333, as amended from time to time (the “BRSA Regulation”) and the Capital Market Board (“CMB”) Communiqué on Principles regarding Mergers Series I No.31, as amended from time to time (the “CMB Communiqué”).
