THIS CONSENT AND ACKNOWLEDGEMENT (this “Consent”), dated as of August , 2017 by THE CITY OF DANVILLE, VIRGINIA, a municipal corporation of the Commonwealth of Virginia (the “Contracting Party”), STS HYDROPOWER LTD., a Michigan corporation (the “Assignor”) and DEUTSCHE BANK TRUST COMPANY AMERICAS, as collateral agent for the Secured Parties (as defined in the Collateral Security Agreement described below) (the “Collateral Agent”).
