(“Axiom”) and Papernuts Corporation (“Papernuts”) and certain shareholders of each of Axiom and Papernuts have entered into a share exchange agreement dated as of the date below (the “Share Exchange Agreement”), pursuant to which Axiom and Papernuts, and certain of their respective shareholders agreed to a share exchange transaction in accordance with the terms and conditions thereof (the “Share Exchange”).
