(“NexGen”), a corporation organized under the laws of the State of Delaware, with offices at 64 Beaver Street, Suite 104, New York, NY 10004 and Verizon Pennsylvania Inc. (“Verizon”), a corporation organized under the laws of the Commonwealth of Pennsylvania with offices at 1717 Arch Street, Philadelphia, PA 19103 (Verizon and NexGen may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
